Porbanderwala Cloud provides AI infrastructure services hosted on US-based servers. Our service includes:

• Access to a modern AI chat interface (Open WebUI)
• Integration with multiple AI models through OpenRouter's API infrastructure
• Access to models from providers including Anthropic, OpenAI, Meta, Google, and others via OpenRouter
• Managed deployment, maintenance, and security of the entire platform

Important: Our service utilizes OpenRouter as an API aggregator to provide access to multiple AI models. By using our service, you acknowledge that your data will be processed through OpenRouter and the underlying AI model providers, each of which has their own terms of service and acceptable use policies.

3. User Responsibilities

You agree to use our Service in compliance with all applicable laws and regulations. You are responsible for:

• All activities that occur under your account
• Maintaining the confidentiality of your account credentials
• Complying with OpenRouter's Terms of Service and the terms of service of underlying AI model providers
• Ensuring your use of AI models complies with all applicable laws in your jurisdiction
• Understanding that certain AI models may have specific usage restrictions or requirements

4. Prohibited Activities

You agree not to use the Service for any unlawful purpose or to engage in any of the following prohibited activities:

• Generating content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Violating the acceptable use policies of OpenRouter or any underlying AI model provider
• Attempting to gain unauthorized access to our systems or engaging in any activity that disrupts, diminishes the quality of, or interferes with the performance of the Service
• Using the service to develop, train, or improve competing AI models or services
• Attempting to reverse engineer, extract, or obtain the weights or parameters of any AI models
• Sharing your account credentials or allowing unauthorized access to your account
• Generating spam, malware, or other malicious content
• Circumventing rate limits, usage restrictions, or other technical limitations
• Using the service for any activity that could harm minors

Note: Violations of these terms or the terms of our third-party providers may result in immediate termination of your account.

5. Intellectual Property

The Service and its original content (excluding content generated by you), features, and functionality are and will remain the exclusive property of Porbanderwala Cloud. Our trademarks may not be used in connection with any product or service without our prior written consent.

Your Content: You retain all rights to the prompts you input and the content you generate using the Service, subject to the terms of service of the underlying AI model providers accessed through OpenRouter. Some AI providers may have specific intellectual property terms regarding AI-generated content.

Third-Party IP: The AI models accessible through our service are owned by their respective providers (Anthropic, OpenAI, Meta, Google, etc.). OpenRouter and the model providers retain all rights to their respective technologies and services.

6. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding:

• The operation of our Service or the information, content, or materials included therein
• The availability, reliability, or accuracy of AI models accessed through OpenRouter
• The quality, accuracy, or appropriateness of AI-generated content
• Uninterrupted, secure, or error-free service
• The availability of specific AI models, which may be added, removed, or modified by their providers at any time

AI Model Disclaimer: AI models may produce inaccurate, biased, or inappropriate outputs. You are solely responsible for reviewing and validating all AI-generated content before use. We make no representations about the correctness, reliability, or appropriateness of AI outputs for any particular purpose.

8. Limitation of Liability

In no event shall Porbanderwala Cloud, nor its directors, employees, partners, or agents, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

9. Third-Party Services

Our Service integrates with third-party services, including but not limited to OpenRouter and various AI model providers. Your use of these third-party services through our platform is subject to their respective terms of service and privacy policies:

• AI Model Providers: Each AI model has its own terms of service from providers such as Anthropic, OpenAI, Meta, Google, and others

We are not responsible for the terms, policies, or actions of third-party providers. Any disputes with third-party services should be directed to those providers.

10. Service Availability and Limitations

Service availability may be affected by:

• OpenRouter API availability and rate limits
• Individual AI model availability, which may vary by provider
• Scheduled maintenance of our platform or infrastructure
• Usage limits based on your subscription tier

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of specific AI models.

11. Fees and Payment

Subscription fees are charged according to your selected plan. Additional charges may apply for:

• Excessive API usage beyond your plan limits
• Access to premium AI models
• Additional features or services

We reserve the right to modify pricing with reasonable notice. You are responsible for all costs associated with your use of third-party AI models accessed through our platform.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the United States, and the parties hereby consent to personal jurisdiction and venue therein.

13. Data Processing and Privacy

By using our Service, you acknowledge and agree that:

• Your data will be processed on US-based infrastructure
• Your prompts and conversations will be sent to OpenRouter and underlying AI model providers
• Each AI provider may process your data according to their own privacy policies
• Data may be transferred internationally depending on the AI model provider's infrastructure

14. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by:

• Posting the new Terms of Service on this page

Your continued use of the Service after any changes constitutes acceptance of the new Terms.
